| Dr. Dennis McCullough is an independent consultant in the field of strategic management of technology-based businesses & technology commercialization. Dennis was co-founder & deputy managing director of CDTECH (a technology business JV between ABB Lummus and a Shell Chemicals subsidiary) & was president of Badger Licensing (a technology business JV between Shaw and ExxonMobil) and has formed and structured over 30 major technology business partnerships. He has been associated with The Shaw Group, ABB Lummus Global, Bechtel, Litwin, and Eastman Chemical. Dennis currently serves on the Board of Directors for Membrane Technology & Research Inc., a leading membrane technology company. Dennis earned a BS degree in Chemical Engineering from the University of Houston and Masters & Doctorate degrees in Chemical Engineering from Texas A&M University. |

| Dennis has held executive management positions responsible for strategic planning, technology development & commercialization, acquisitions, alliance formation, IP management, technology licensing & strategic business development. Dennis has been responsible for building a portfolio of licensed technologies in the Energy & Chemicals industries including identifying and evaluating alliance partners, valuation of IP portfolios, structuring and negotiating partnerships & acquisitions, and managing initial start up/commercialization of new technologies and technology business alliances. Current activities include advising client acquisition teams on complete due diligence performance, valuation of technology assets, restructuring legacy alliances, intellectual property freedom-to-operate and patentability analyses, and formation of technology asset purchase and sale agreements, as well as post-acquisition technology business strategy and lift-off. Dennis also works with small technology firms to develop strategic business plans, tactical approaches to investors and development of technology commercialization pathways. Dennis is a Registered Professional Engineer in Texas (#36,141), a Registered U.S. Patent Agent (#54,304), a Certified Patent Valuation Analyst (CPVA) & a Certified Licensing Professional (CLP#2065). |
